Abstract:
This study aimed to identify the reflection of the characteristics of Board of Directors on the debt structure of public companies members of the Brazil Index (IBrX) between the years 2008 and 2012. Based on a literature review of the capital structure and corporate indebtedness, of the Board of Directors (BD) and about similar studies on these topics, a study was conducted with data of these companies collected from their reference forms and Economatica database. In total, 483 annual observations were analyzed using a panel data using multivariate regression models. Its main results indicated that the variables "age of the members," "independence of the chairman of the board", "membership" and "number of directors appointed by the minority" are determinants of the capital structure, influencing negatively their level of indebtedness. These evidences confirm the existing literature related to the relevance of the Board of Directors in a company's management process.
