Poison Pills and Earnings Management: An Investigation in BM&FBovespa’s “Novo Mercado” Companies Other Languages

Abstract:
Controlling shareholders can use poison pills as a statutory instrument to prevent hostile takeover of the company's control. Despite this fact, managers can make accounting choices in order to influence the market perception of the company's financial performance. Studies based on US companies show negative relationship between earnings management and use of poison pills, and there are no studies with Brazilian companies that investigated this issue. Thus, this research aims to verify if earnings management levels in companies listed on the BM&FBovespa have association with poison pills. The sample is composed of 99 companies listed on the “Novo Mercado” segment of BM&FBovespa that traded shares in the period between 2009 and 2014. The poison pills clauses were identified in Reference Forms and Bylaws, and earnings management was operationalized using Jones model (1991), which was controlled by variables Asset size, Tobin’s q, debt, return on assets and net revenue growth. Regressions by Panel Data and t test indicated that Brazilian companies with poison pills clauses do not have significantly different results of earnings management levels of those who do not have such mechanism, standing against the findings from researches conducted in United States. These results can contribute to deepening the debate on the effects caused by the poison pills in the Brazilian stock market, and it encourages the expansion of research in the area of Financial Accounting involving this statutory mechanism.
