Governança Corporativa: solução, paliativo ou modismo? Other Languages

Abstract:
Trust in capital markets in the United States, Europe and eventually Brazil has been damaged by extensive financial fraud, bankruptcy and dismantling of the business line of command. For many these scandals reminisce back to 1776, when Adam Smith warned that “company executives take care of other people's money, rather than their own, so we cannot expect they are as careful as the owners. Negligence and profusion, therefore, must always prevail, more or less, in the management of the affairs of such a company”. The discussion of corporate governance lies exactly at the level of search for valid alternatives to overcome the ethic crisis pervailing business, and the question is: is corporate governance really new? From my viewpoint, corporate governance means just treating the shareholder and the investor with honesty. So there is nothing new. This is the heart of the matter. Restoring trust from capital market investors lies on all segments of the society, which requires sustained performance of high quality and integrity of the corporate management, accounting practice, board of directors,supervisory board, investment banks and legal advisors. We must acknowledge that there are no stand-alone solutions or miracle formula, and all process players must commit themselves to doing their best to help restore the investors' trust.
